Terms of Service

1. Introduction

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "User") and Portfolio Studio ("we", "us", "our"), based in British Columbia, Canada.

Portfolio Studio is a software-as-a-service platform that helps you generate, edit, and deploy portfolio websites using artificial intelligence. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms. If you are in the European Economic Area (EEA) or the United Kingdom, you must be at least 16 years old to use the Service.

3. Accounts

You may register using an email address and password or through a third-party authentication provider such as Google. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access.

Accounts are for individual use only and may not be shared or transferred. We reserve the right to suspend or terminate any account that we reasonably believe is being shared, automated, or used in violation of these Terms.

4. The Service

Portfolio Studio provides the following capabilities:

  • AI-powered generation: Create and edit portfolio website code through conversational prompts processed by third-party AI providers.
  • Preview and editing: Real-time preview of generated websites with the ability to iterate via chat.
  • Deployment and hosting: Publish your portfolio to a Platform subdomain (yourname.portfoliostudio.dev) or a custom domain.
  • Domain registration: Purchase and manage domain names through our integration with an ICANN-accredited registrar (when available).

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

5. AI-Generated Content

The Service uses third-party artificial intelligence models to generate website code and content based on your prompts. By using the AI features, you acknowledge and agree to the following:

  • Ownership: You own the output generated by the AI for you through the Service, subject to the limitations below.
  • No copyright guarantee: Under current law in many jurisdictions, purely AI-generated content may not qualify for copyright protection. We make no representation that AI outputs are copyrightable or protectable as intellectual property.
  • No uniqueness guarantee: AI models may produce similar or identical outputs for different users. We do not guarantee that your generated content is unique.
  • No accuracy or fitness warranty: AI-generated code and content are provided "as-is". We do not guarantee that outputs are error-free, secure, accessible, or suitable for any particular purpose. You are responsible for reviewing and testing all generated content before publishing.
  • Third-party intellectual property: We do not guarantee that AI outputs do not inadvertently resemble or incorporate existing copyrighted works, trademarks, or other protected material. You are solely responsible for reviewing generated content for potential infringement before use.
  • Third-party AI providers: Your prompts and inputs are sent to third-party AI service providers (currently via OpenRouter, using models from Google and potentially other providers) for processing. These transmissions are subject to the respective provider's terms and privacy policies. We do not use your prompts or outputs to train any AI models.

6. User Content & Responsibilities

"User Content" means all content you create, upload, generate, or deploy through the Service, including but not limited to text, images, code, prompts, and portfolio websites.

  • You retain ownership of your User Content, subject to the AI-generated content limitations in Section 5.
  • You grant us a worldwide, non-exclusive, royalty-free license to host, store, cache, serve, display, reproduce, and transmit your User Content solely as necessary to provide and operate the Service.
  • You are solely responsible for all content in your deployed portfolios and for ensuring that your content does not violate any applicable law or third-party rights.
  • We do not monitor or pre-screen User Content but reserve the right to remove any content that violates these Terms.

7. Acceptable Use

You agree not to use the Service to:

  • Generate, upload, or deploy content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Create content that infringes on any copyright, trademark, patent, trade secret, or other intellectual property or proprietary right of any party.
  • Deploy websites that impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Distribute malware, phishing pages, spam, scams, or any content intended to deceive or harm others.
  • Create or distribute child sexual abuse material (CSAM) or any content that exploits minors.
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
  • Circumvent, disable, or interfere with rate limits, security features, billing mechanisms, or access controls.
  • Use automated means (bots, scrapers, etc.) to access the Service beyond normal use.
  • Use purchased domains for phishing, spam, or any malicious activity.
  • Reverse-engineer, decompile, or attempt to extract the AI system prompts or underlying technology.
  • Resell, redistribute, or sublicense the Service or any part of it without our prior written consent.

Violation of these rules may result in content removal, account suspension, or permanent termination at our sole discretion, with or without notice.

8. Payments, Credits & Refunds

8.1 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your credit card or payment details on our servers. By making a purchase, you also agree to Stripe's Terms of Service .

8.2 Pricing & Plans

All prices are displayed at checkout and are in US Dollars unless stated otherwise. We currently offer the following plans:

  • Subscription plans: Monthly, Half-Yearly, and Annual recurring subscriptions that include 5 AI generation credits per month and 1 deploy slot.
  • Launch Offer: A limited one-time purchase that provides lifetime access to the Service with the same benefits as a subscription, plus an early supporter badge. This offer is available to a limited number of users.
  • Credit top-ups: One-time purchases of additional AI generation credits and deploy slots, available only to users with an active subscription or Launch Offer.

We may change pricing at any time, but changes will not apply to existing purchases or active billing periods. We will provide at least 30 days' notice before changing recurring subscription pricing. You are responsible for any applicable taxes.

8.3 Credits

Certain actions in the Service consume credits. Credits are non-transferable and have no cash value. Unused credits do not expire. Credit balances are not refundable except as described in Section 8.5.

8.4 Deploy Slots

Publishing a portfolio to a live URL requires a deploy slot. Deploy slots are included with paid plans. The number of available slots depends on your plan and is displayed in your billing dashboard.

8.5 Refund Policy

Our refund policy is as follows:

  • Subscriptions: You may cancel your subscription at any time. You will retain access to paid features until the end of your current billing period. No partial refunds are given for unused time within a billing cycle. You may request a full refund within 7 days of your initial subscription purchase, provided you have not used any deploy slots or credits included with the plan.
  • Launch Offer: You may request a full refund within 7 days of purchase, provided you have not used any deploy slots or credits included with the offer. After 7 days or after usage, no refund is available.
  • Credit top-ups: Credit purchases are non-refundable.
  • Domain purchases: Domain registrations are processed immediately through our registrar partner and are non-refundable once submitted.

To request a refund, email [email protected] with your account email and the transaction in question. Approved refunds will be processed to the original payment method within 5 to 10 business days.

8.6 Subscriptions

Subscription plans renew automatically at the end of each billing cycle (monthly, half-yearly, or annually, depending on the plan you selected). Upon each successful renewal, you will receive your monthly credit allocation.

  • Auto-renewal: Your subscription will automatically renew at the then-current price unless you cancel before the end of the current billing period.
  • Cancellation: You may cancel your subscription at any time through the Stripe Customer Portal (accessible from your billing page). Upon cancellation, you will retain access to all paid features until the end of your current billing period. No partial refunds are given for unused time.
  • Plan changes: You may manage your subscription, including upgrading or downgrading, through the Stripe Customer Portal.

8.7 Launch Offer

The Launch Offer is a one-time purchase that grants lifetime access to the Service. Launch Offer members receive the same monthly credit allocation as subscribers without a recurring charge. The Launch Offer is limited in availability and may be discontinued at any time once the maximum number of spots has been filled. Lifetime access is subject to the continued operation of the Service.

8.8 Failed Payments

If a payment fails (for example, due to an expired card), we may retry the charge and will notify you by email. If payment cannot be collected after reasonable attempts, we may suspend your access to paid features until the payment issue is resolved.

9. Domain Registration

When domain registration services are available through the Service, the following terms apply:

  • Domain names are registered through OpenProvider, an ICANN-accredited registrar. Portfolio Studio acts as a reseller and is not itself an ICANN-accredited registrar.
  • You must provide accurate and complete registrant contact information as required by ICANN. Providing false information may result in the cancellation of your domain registration.
  • Domains are registered with WHOIS privacy enabled by default. Your personal registrant information is not published in the public WHOIS database.
  • Domain registrations are subject to ICANN policies, including the Uniform Domain-Name Dispute Resolution Policy (UDRP) , the Transfer Policy (including a 60-day transfer lock following changes to registrant information), and the Expired Registration Recovery Policy.
  • Auto-renewal is enabled by default. You are responsible for maintaining a valid payment method if you wish to keep auto-renewal active. We are not liable for domain loss due to failed renewal payments.
  • You have the right to transfer your domain to another registrar at any time, subject to ICANN transfer policies. We will not unreasonably restrict domain transfers.

10. Hosting & Deployment

  • Deployed portfolios are hosted using Cloudflare infrastructure. We do not guarantee 100% uptime and do not offer a formal Service Level Agreement (SLA) at this time.
  • Platform subdomains (*.portfoliostudio.dev) are provided as part of the Service and may be reclaimed if your account is terminated or your deployment is removed.
  • Custom domains that you own remain your property regardless of account status. If your account is terminated, DNS records managed through the Service will be removed, but the domain registration itself is not affected.
  • We reserve the right to remove or disable any deployed content that violates these Terms, applicable law, or that we reasonably believe poses a security risk.

11. Copyright Infringement & DMCA

We respect the intellectual property rights of others and expect our users to do the same. If you believe that content hosted on the Service infringes your copyright, you may submit a takedown notice in accordance with the Digital Millennium Copyright Act (DMCA) or applicable copyright law.

Please see our DMCA Policy for instructions on how to file a takedown notice, submit a counter-notification, and our repeat infringer policy.

Accounts that are found to be repeat infringers will be terminated.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy , which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

Without limiting the foregoing, we specifically disclaim any warranty or representation that:

  • AI-generated content will be accurate, complete, original, non-infringing, or suitable for any purpose.
  • The Service will be available at all times or free from errors or interruptions.
  • Domain registrations will be successful or uninterrupted.
  • Deployed websites will achieve any particular performance, uptime, or availability.
  • Data transmitted through the Service will be secure from unauthorized access.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Portfolio Studio, its owner, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Service.
  • Any AI-generated content, including content that infringes third-party rights, contains errors, or causes harm.
  • Unauthorized access to or alteration of your data or transmissions.
  • Loss of a domain name due to failed renewals, registrar issues, or disputes.
  • Outages, data loss, or performance issues in the Service or third-party infrastructure.
  • Any third-party conduct or content on or through the Service.

Our total cumulative liability for all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to Portfolio Studio in the twelve (12) months immediately preceding the event giving rise to the claim, or fifty Canadian dollars (CAD $50), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability shall be limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Portfolio Studio and its owner from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service or any content you create, generate, or deploy.
  • Your violation of these Terms or any applicable law.
  • Your infringement of any third-party intellectual property or other rights.
  • Any dispute between you and a third party related to your deployed portfolio or domain.

16. Termination

Cancelling a subscription and deleting your account are separate actions:

  • Subscription cancellation: You may cancel your subscription at any time via the Stripe Customer Portal. You retain access to paid features until the end of your current billing period. Your account, projects, and deployed portfolios remain intact.
  • Account deletion: You may delete your account at any time through your account settings. Upon account deletion:
    • Any active subscription will be cancelled immediately.
    • Your deployed portfolios will be taken offline.
    • Your project data will be permanently deleted after a 30-day grace period.
    • Domain registrations you own are not cancelled and remain yours. DNS records managed through the Service will be removed.
    • Unused credits and deploy slots are forfeited and are not refundable.

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if your account poses a security risk, or if required by law. Where possible, we will provide notice and an explanation. In cases of severe violations (such as deploying illegal content), we may act immediately without prior notice.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent in-app notification before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts located in the Province of British Columbia, Canada.

19. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Portfolio Studio.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of the right to enforce it at a later time.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms. We may assign our rights and obligations without restriction.
